1. Agreement to Terms
Welcome to intellisell. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User"), and intellisell owned and operated by Hana Creations ("we," "us," or "our"), concerning your access to and use of our platform (app.intellisell.ai), website (intellisell.ai), and related services (collectively, the "Services").
By creating an account, accessing, or using our Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.
2. Our Services
We provide an AI-powered sales intelligence platform designed to help sales, business development, and marketing professionals research prospects, track updates, identify buying signals, and build account plans. The Services aggregate, analyze, and contextualize information about professionals and companies ("Prospects"). This may include information about Prospects from publicly available sources and third-party vendors and service providers who provide these services to provide business insights to our Users.
3. User Accounts and Responsibilities
Registration: To use our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this security obligation.
Acceptable Use: You agree not to use the Services for any unlawful purpose or in any way that could harm, disable, overburden, or impair the Services. You agree not to:
- Use the Services to scrape, build a competitive product, or for any purpose other than your internal business purposes.
- Attempt to gain unauthorized access to the Services or its related systems or networks.
- Use the Services to send spam or otherwise duplicative or unsolicited messages in violation of applicable laws.
- Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
4. Fees and Payment
Subscriptions: Our Services are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are typically set on a monthly or annual basis, depending on the subscription plan you select.
Automatic Renewal: At the end of each Billing Cycle, your subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your subscription renewal either through your online account management page or by contacting our customer support team.
Payment Method: A valid payment method, including a credit card, is required to process the payment for your subscription. You shall provide us with accurate and complete billing information. By submitting such payment information, you automatically authorize us to charge all subscription fees incurred through your account to any such payment instruments.
Fee Changes: We, in our sole discretion and at any time, may modify the subscription fees. Any subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in subscription fees to give you an opportunity to terminate your subscription before such change becomes effective.
5. Intellectual Property Rights
Our Intellectual Property: The Services and their original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Intellisell.ai and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks may not be used in connection with any product or service without our prior written consent.
Your Content: You retain all of your rights to any content you submit, post, or display on or through the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods now known or later developed for the purposes of operating and providing our Services to you.
Feedback: You may voluntarily provide feedback, suggestions, or ideas about our Services ("Feedback"). You agree that we are free to use such Feedback without any obligation or compensation to you.
6. Termination
Termination by You: You may terminate your account and these Terms at any time by canceling your subscription and ceasing to use the Services.
Termination by Us: We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
Effect of Termination: Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
7. Disclaimers and Limitation of Liability
"AS IS" Service: The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free.
Data Accuracy: The information provided through our Services is aggregated from publicly available sources. While we strive for accuracy, we do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk.
Limitation of Liability: In no event shall we, intellisell, Hana Creations, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
8. Indemnification
You agree to defend, indemnify, and hold harmless intellisell, Hana Creations and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 7 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
